I did a little poking around, and what the consensus seems to be:
1) This requires a fairly recent NIC, and probably won't do anything on an onboard network chip.
2) It seems to be mostly effective on "servers", with multiple NICs and lots of multithreaded network traffic (most of the chatter about it is on Windows 2000 and Windows Server 2003)
3) It does seem to work on XP, and although most folks say you won't see much if any difference in real-world terms, it also doesn't seem to hurt anything.
4) It is not needed on Vista. Vista handles this automatically when / as needed.

it think these cards would help out older CPUs to off load processing , but that being said 229.00 bucks you might as well upgrade the PC to a quad core.

Vista is a better operating system than XP (flame retardant suit zipping up), with a couple of cavets:
1) You should have reasonably decent hardware (recent CPU, at least two megs of DDR2 memory, good graphics card) XP will perform better on older hardware.
2) The improvements in Vista are mostly small (but nice) things. Changes to the way some things work in the GUI, where important files are stored and improvements to stability. It is "evolutionary", not "revolutionary". There is no ONE thing that I can point to that is an "XP killer", but all the little improvements together add up to a better experience.
3) There is a little "getting used to" curve with Vista. For instance, a program like Call of Duty 4. On XP when you download a map it is stored in "main" under your Call of Duty 4 folder in "Program Files". Vista won't let programs write to "Program Files" except for the initial install, so maps are written to "Appdata" under "Users". This is to protect you from virus' and malware that want to attack your other programs and corrupt them, and is a GREAT idea. Takes some getting used to though.
If you are a) happy with XP, and b) working on older hardware and c) don't mind spending the next 1 1/2 years watching the rest of the world (as they buy new hardware) move to Vista while you slowly sink into "get off my lawn" curmudgeonlyness wearing Bermuda shorts and a straw hat, then sure. Stick with XP for the next 36 months. Also, don't ever buy a new video card, because a better one is coming out in a year.

Personally, I'd recommend 2 Gigs of RAM... 2 Meg just won't cut it, at least not since Win3.1...

I am using Vista 64bit and 32bit SIMPLEY THE BEST OS I HAVE EVER USED! I think people have short term memory. When XP first came out it was much more unstable and more driver issues. Most people that bash or complain about Vista haven't used it or haven't used it long enough to make a real judgement. Just try it out make your own opinion.

I would use it, but I think it is over priced. So far I see no reason to go through the trouble of backing up all my data and doing a complete new format for a new operating system that will only be used for a few years by me. XP doesn't have any major issues with it, and it is still supported as far as updates go. I would rather not spend $300-$900 for an operating system I will only be using for a brief period of time. I paid $138 for xp pro 6 years ago and feel I am kind of getting my moneys worth.

And that is fair enough... Perfectly good reasoning.
Poor reasons not to use it are to listen to the "it sucks" crowd who fall into one of these categories:
1) Linux or Mac users who don't even know what they are talking about
2) Micro$oft bashers. They just make me tired. Really just trolls.
3) People who are just mindlessly parroting stuff they read about problems with drivers from a year or more ago, all of which have been solved. (oh, and which XP had in spades when it was first released)
4) Renegade - But then I suspect his house was built on an old Druid burial ground and it isn't so much that he hates Vista as it is that IT hates him. J/K Ren...
